Legal Counsel

Inventum Group is working a leading Alternative Credit Manager who require a full-time permanent Legal Counsel based in London. This role would suit a 2 to 4 PQE Solicitor who has worked in Private Practice or within an In-House Legal or Compliance Team at a Buy-side institution.

This position will provide support to the Chief Legal Officer and the broader legal and compliance function, which is currently made up of the Chief Legal Officer, the Chief Compliance Officer and one legal consultant. The successful candidate will be involved in a wide variety of legal, transactional, regulatory and compliance related matters, which affect the entire business.

The organisation provides asset management and investment advisory services to clients, with a focus on leveraged finance, opportunistic credit (special situations and distressed) and structured credit more generally. These strategies are expressed through funds, managed accounts and other dedicated vehicles.

General Responsibilities will include:

  • assisting with reviewing, drafting and negotiating documentation relating to new

and existing products, including fund formation/amendments, CLOs and related

warehouses and managed account mandates, and liaising with the relevant

business units throughout the relevant project(s);
  • negotiating ancillary legal documents such as side letters, NDAs, general

commercial contracts, software licence agreements, broker terms of business

  • assisting with the review and approval of financial promotions, presentations,

due diligence questionnaires, RFPs, client reports and fund reports, and liaising

with US broker-dealer and the US's business development in respect of US

marketing efforts;
  • assisting with the negotiation of financial derivative contracts for the funds

including ISDAs, MCAs, bespoke confirms and GMRAs;
  • assisting with the review and completion of loan transfer certificates applicable

to the leveraged loan and CLO portfolios (including ensuring the appropriate tax

elections are made);
  • assisting with responding to KYC requests from counterparties, clients and

service providers;
  • attending fund board meetings and following up on various action points with

the relevant fund or CLO manager boards;
  • compiling quarterly legal reports for board meetings and scanning the legal and regulatory horizon for forthcoming changes in law and/or regulation;

Experience required

  • Qualified Solicitor (2 to 4 PQE) - ideally in England & Wales although other jurisdictions will be considered
  • Experience of leveraged finance and/or broader credit market is an advantage.
  • Knowledge of FCA regulations, AIFMD, MIFID and US regulation (SEC and/or CFTC)
  • would be an advantage but is not essential.
