Purpose of the role:

To ensure that all contracting and tendering activities are carried out in accordance with legislation and the KB Group's policies and procedures. Advising on all legal matters and leading the Commercial Managers/Bid Managers in risk assessment and estimating of commercial terms for bids.

Drafting commercial sections of the responses to pre-qualification questionnaires and invitations to tender and carrying out a legal review of tender (RFP/RFQ etc) responses.

Professional experience and/or qualifications:

· Qualified solicitor/lawyer.

· Excellent knowledge of UK contract law and Data Protection Regulation.

· Contract negotiation and drafting experience (formal correspondence and contractual drafting).

· Knowledge of intellectual property law supported by appropriate training.

· Experience of contract dispute resolution.

· Evidence ability to understand and interpret complex legal information.

. A good level of understanding of Project Contracting and Commercial contracts.

. A minimum of 5 years previous commercial/contracts management experience.

Additional skills and requirements:

· Good understanding of the UK Rail industry is advantageous but not essential.

· Customer Relationship experience.

· Ability to interpret customer requirements.

· Ability to pro-actively work with project teams across the KB group and occasional travel as required.

Indicative Main Responsibilities/Duties:

· Lead the Commercial and Bid/Tendering team to provide outstanding guidance to the business.

· Prepare commercial tenders and support negotiations with customers to secure contracts which are financially beneficial to the KB Group and specifically for KBRS.

· Lead the review and comment on negotiations with suppliers so as to secure contracts that are financially beneficial to the KB Group and specifically for KBRS.

· Support New Business Lines along with the Business Managers in negotiations with customers.

· Support both Project Managers and Business Managers with cost/price and commercial issues in conjunction with the Finance team.

· Liaise with K-B Group Treasury Department on parent company guarantees & bonds and liaise with K-B Group Legal Department on contract terms and conditions, and other forms of agreements.

· Liaise with KBRS Finance Department on parent company guarantees, bonds, pricing factors and cash-flows.

· Review, comment on, and negotiate on all contract terms and conditions and other agreements with customers (i.e. NDAs)

· To provide commercial leadership and direction to the project function.

· Provide leadership for departmental synergy for commercial matters.

· Deliver a positive service, aimed at doing what matters most to customers whilst adhering to group objectives, leading with a positive can-do attitude

· Champion the commercial obligations through the tender process into a structure for delivery.

· Ensure management and control of customer contracts, terms and conditions.
