Role Overview:

The role is a senior Company Secretarial professional at Client Director level. You will manage a portfolio of clients, providing company secretarial and corporate governance advisory services. As a member of Prism's management team, you will also be accountable for retention of clients and new business development.

Core Duties/Responsibilities

The provision of company secretarial services to Prism clients including, but not limited to, the following core Company Secretarial responsibilities:
  • Listing and Post Listing Company Secretarial activity
  • UK Corporate Governance Code reviews and advice
  • Company Law and Stock Exchange Regulatory compliance
  • Company Secretarial mentoring
  • Board meeting support and minuting
  • Report and Accounts preparation and project management
  • AGMs and shareholder meetings
  • Advice on insider lists and communications
  • Major Shareholder investigations
  • Subsidiary rationalisation

The role will involve:
  • Liaising with clients and their advisers and building strong relationships
  • Leading and delivering a high quality end to end service to your clients, adhering to standardised policies, procedures and service standards
  • Developing and mentoring junior members of the team

As a member of the management team, the role will also involve working with the Director and other Client Directors to:
  • Actively identify opportunities to work with colleagues across the EQ Group to capitalise on account penetration and cross-selling opportunities
  • Develop and maintain knowledge of relevant products and services offered by the EQ Group
  • Network internally with other business units, within the sector, and with external specialists (lawyers, advisers, accountants)
  • Consider the design of pricing structures to best meet the client's needs based on knowledge of the client, the company secretarial market and industry sector

Experience and Qualifications

Academic & Professional Qualifications
  • Fully qualified chartered secretary (ACIS/FCIS or equivalent) with at least 10 PQE

  • At least 10 years of company secretarial experience
  • Have been a named company secretary, or an assistant/deputy company secretary, to a FTSE or AIM listed company
  • Experience of working directly with senior level directors, including Board and Committee Chairs
  • A comprehensive grasp of corporate governance issues
  • Ideally, experience of working on transactions and IPOs

  • High level of attention to detail and accuracy
  • A well-organised approach to work , with the ability to prioritise work and to work well under pressure
  • A diplomatic approach and proven confidence to provide support to high-profile company staff and board members
  • Integrity and discretion when handling confidential information
  • Interpersonal skills and the ability to work well with people at all levels
  • Excellent reporting skills.
  • Able to demonstrate a proactive and flexible approach.
  • Resilient, able to work under pressure, cope with varying workloads, urgent projects and meet deadlines
  • Strong verbal and written communication skills
  • Team working skills
  • Experience of managing more junior team members.
  • The capability to work with numerical information, plus analytical and problem-solving skills
