The Primary Markets and AIM Regulation ('PMAR') team is part of the LSE plc's UK Regulation function which also comprises (i) Rules & Compliance (ii) Market Supervision (iii) AIM Regulation and (iv) Primary Market Regulation. PMAR''s responsibilities involve critical and significant contributions to primary market regulation of all markets operated by the LSE plc, including the regulation and provision of advice to nominated advisers, development of Rules, policy and associated guidance in respect of all operated markets and investigating rule breaches by nominated advisers and companies on those markets, taking disciplinary action where appropriate.

PMAR is comprised of three sub teams i) Operations and Guidance team, ii) Investigations and Enforcement and iii) the International Securities Market team.

The role will primarily focus on providing senior technical advice and expertise and oversight and delivery on investigative activity and enforcement action relating to the AIM Rules for Companies and AIM Rules for Nominated Advisers; leading complex cases work and undertaking day to day management of the PMAR Investigations and Enforcement team's deliverables, but may also involve supporting real-time work performed by the Operations and Guidance team and disciplinary activity relating to breaches of member firms obligations pursuant to London Stock Exchange Rules. Leading or contributing to thematic work and other market regulation projects and initiatives as required.

The role reports to the Director, Investigations and Enforcement and to the Head of Primary Markets and AIM Regulation

The UK Regulation department is responsible for regulating all the markets operated by LSE plc (the Recognised Investment Exchange). The department oversees secondary market trading, to ensure it is orderly, and monitors the markets for potential market abuse, market manipulation and breaches of the Exchange's rules. From a primary market perspective the department acts as 'competent authority' for AIM, regulates nominated advisers and manages the AIM rules as well as controlling admission to the Main Market under the Exchange's Admission and Disclosure standards. The department is also responsible for the Exchange's compliance with its own regulatory responsibilities, its relationship with the FCA and for the provision of regulatory advice and guidance to all UK entities in the Group.

Role Purpose:

Undertakes all aspects of investigation and related enforcement activity, and contributes and supports thematic work, the development of regulatory and disciplinary framework and overarching delivery of PMAR's regulatory objectives.

Role Responsibilities:

- Provides advanced technical advice and expertise in material investigation and enforcement cases, bespoke and technical advice on case presentation, susceptibility to legal challenge, assessment of merits and risks of proposed courses of action and impact of developments in case law and other regulatory regimes

- Responsibility for strategic case management for complex matters, including scoping, developing case strategy, securing and analysing evidence and producing high quality reports, recommendations and case outcomes

- Day-to-day case conduct and responsibility for a range of investigation and enforcement matters

- Attends complex compliance assurance reviews where relevant to investigation or enforcement action.

- Implements and oversees operational changes to maintain efficiencies and innovation in the delivery of the Investigations and Enforcement functions.

- Critically reviews case work, reports and recommendations prepared by more junior team members and leads on presentation of recommended action and outcomes to key internal and external stakeholders, where appropriate.

- Supports development and delivery of thematic work

- Implements and oversees operational changes to maintain efficiencies and innovation in the delivery of the Investigations and Enforcement functions.

- Manages and develops relationships with internal and external stakeholders at mid to senior level.

- Team and stakeholder management including the development of skill sets in the team function through mentoring and knowledge sharing

Key deliverables:

Depending on the level of skills and experience:

- Formulate and pursue all aspects of investigations into potential breaches of the AIM Rules by AIM companies and nominated advisers including case strategy and scope and the gathering of evidence.

- Manage communications with nominated advisers and AIM companies under investigation and their representatives.

- Undertakes analysis, assessment and robust forensic scrutiny of information and evidence gathered through formal information requests, interviews and intelligence.

- Delivery of verbal and written reports and presentations of factual findings, analysis of breaches of the AIM Rules by nominated advisers and AIM companies and recommendations of proposed regulatory, disciplinary and enforcement outcomes.

- Drafting, preparation and review of written outcomes ranging from rules education to AIM companies and Nominated Adviser, formal findings of non-compliance through to Statements of Case seeking public censures, fines or other material sanctions.

- Lead or assist with the preparation and presentation of recommendations and disciplinary actions before internal committees of the Exchange and the AIM Disciplinary Committee.

- Contribute to the development and implementation of AIM Regulation's sanctions and enforcement policy, procedures and guidance.

- Maintain and promote effective working relationships with colleagues in other business areas, external bodies and key stakeholders, including but not limited to senior management, external legal counsel and other regulators or law enforcement.

- Assess and respond to information and concerns raised by market participants and investors.

- Contribute to development of colleagues and a high performing team by providing feedback about performance. Provides structure, clear roles and objectives when delegating to or working with others

- Where appropriate, depending on your level of experience, lead projects and line manage junior staff.

Key Skills:

Qualified Lawyer or Accountant - at mid to senior level with a background in one or more relevant disciplines, including financial services regulation, regulatory investigations and enforcement or commercial or financial services litigation and dispute resolution. The candidate should be able to demonstrate:

- Ability to implement case strategies and manage cases from inception to final delivery or regulatory outcome.

- Ability to analyse available evidence to form a view on whether rule breaches have occurred, what action is justified, what further evidence may be required/available and how it might be obtained.

- Experience in any of the following areas: contentious financial services or other regulatory investigations or proceedings; forensic accounting litigation including financial services, markets, public and administrative law, professional conduct enquiries, corporate fraud investigation or other complex civil financial crime enquiries.

- Ability to apply sound principled legal and evidential analysis to novel situations.

- Taking responsibility for making timely, proportionate and robust decisions based on relevant analysis.

- Ability to exercise own judgement and defend those judgements where necessary and appropriate. - Strong relationship management skills to build and maintain effective working relationships with colleagues in other business units and with external bodies.
