The purpose of the Company Secretarial team is to ensure Finastra is compliant across all its entities located in over 45 countries. In addition, the team is responsible for advocating best practice and governance, execution of all board, corporate and constitutional change and providing company secretarial support to ad-hoc projects aligned to internal and external stakeholders.

Responsibilities include, not limited to:
  • The day to day management of the Group statutory filings, and records of all subsidiary companies worldwide, including the UK (115 entities across 45 countries).
  • Responsible for the Pensions Committee, preparing agendas, drafting minutes, maintaining the meeting actions, circulation of meeting papers and engagement with key internal and external stakeholder
  • Drafting the Modern Slavery Statement for approval by the board and engaging with key internal stakeholders
  • Maintain the Gift and Entertainment register and report to various committees.
  • Providing sanctions checks in line with our business processes

About You:
  • Prior experience in a busy Corporate Secretarial team, private practice, or in-house would be advantageous.
  • Member of ICSA or a desire to complete the ICSA Qualification.
  • Ability to work in a very fast-moving environment.
  • Experience in maintenance of company secretarial databases, preferably Diligent (or a similar
  • Work closely to deadlines.
  • Excellent interpersonal skills to be able to liaise with all levels of management.
  • Positive, motivated, fast learner with a flexible approach.
  • Be proactive, enthusiastic, and keen to help across a wide range of work.
  • Complete work efficiently, with high accuracy and meticulous attention to detail.
