This client is looking for an Assistant Company Secretary to provides a high level of support in relation to group company secretarial and governance matters. In this position, you will be supporting the General Counsel and Company Secretary on corporate governance, company secretariat, share schemes and finance matters.Based in Theale, Reading this Company has a hybrid working policy preferring employees to be in 2-3 days in the office per week.As Assistant Company Secretary your responsibilities will include:
  • Assisting with maintenance and updating of Group-wide Corporate Governance policies.
  • Assisting with the production of the Annual Report and Accounts and assistance with confirmation from subsidiaries in relation to annual compliance requirements.
  • Acting as Company Secretary for designated subsidiaries and high-level board and governance committees.
  • Maintenance of statutory books and records
  • Responsibility for convening subsidiary board meetings and drafting and maintaining minutes for subsidiaries
  • Completing Company and subsidiary filings at Companies House
  • Assistance with arrangements for Group Board and Committee meetings and AGM
  • Primary responsibility for management of Group share scheme
  • Assistance with year-end compliance with annual reporting requirements for the Group.
Requirements for the Assistant Company Secretary Role:
  • 4+ years' experience working in a company secretarial team
  • Good working knowledge of Companies Act 2006 and the AIM Rules and QCA Corporate Governance code
  • Part or Fully Qualified Company Secretary
