Job Title: Lay Board Member - Audit & Governance

Salary: £8,400 per annum (based on contractual commitment of 2 days per month)

Location: Mainly home working but attending some face-to-face meetings in Hackney is required.

Your New Job as an Audit & Governance Lay Board Member:

The role of the Lay Member - Audit and Governance is a non-voting member of the Board. As a Board member, the post holder will ensure that the business functions effectively, efficiently, economically, with good governance and in accordance with their Constitution as agreed by its members. Specific responsibilities will be to chair the two sub-committees of the Clinical Board - the Audit and Governance Committee and the Remuneration Committee.

Key Responsibilities:
  1. The Lay Member - Audit and Governance will bring specific expertise and experience to the work of the Clinical Board. Their focus will be strategic and impartial, providing an external view of the work of the business that is removed from the day-to-day running of the organisation. Their role will be to oversee key elements of governance including audit, remuneration and managing conflicts of interest.
  1. The Lay Member - Audit and Governance will be Chair of the Audit Committee. The Audit Committee is constituted as a formal sub-committee of the Clinical Board. The role of the Audit Committee is to seek assurance that financial reporting and internal controls are applied, and to offer scrutiny and advice to the Clinical Board about the reliability and robustness of the organisation's processes of internal control.
  1. The Lay Member - Audit and Governance will be Chair of the Remuneration Committee. The Remuneration Committee is constituted as a formal sub-committee of the Clinical Board. The role of the Remuneration Committee is to determine the remuneration and conditions of service for Board members and senior staff, and make recommendations on other related issues such as severance payments, allowances, and performance-related elements of pay. The Director of HR and Improvement will also be in attendance at the Remuneration Committee to provide specialist expertise to the Committee.
  1. The Lay Member - Audit and Governance will have a lead role in ensuring that the Clinical Board and the business behaves with the utmost probity at all times and will:
  • Have the skills, knowledge and experience to assess and confirm that appropriate systems of internal control are in place for all aspects of governance, including financial and risk management;
  • Have the ability to chair meetings;
  • Be able to give an independent view on possible conflicts of interest;
  • Have recent and relevant financial and audit experience - sufficient to enable them to engage effectively with finance staff and financial reporting in the organisation.
  1. The Lay Member - Audit and Governance will ensure that proposed payments to member organisations are fully scrutinised and that there is total transparency in all payments to them. The Audit Committee will ensure that the Contracts Review and Payments Committee has effective processes in place to assess and review contractual performance and proposed payments to members. Recommendations on payments to practices will be considered and scrutinised by the Audit Committee before payment is authorised and made to practices. The Lay Member - Audit and Governance will ensure that no staff are involved in this process

What You'll Need to Succeed as an Audit & Governance Lay Board Member:

  • Significant financial and audit experience at Board level;
  • Be highly regarded as a leader - demonstrably able to think beyond their own professional viewpoint;
  • Demonstrable experience and understanding of good governance;
  • Experience of chairing senior committees.

  • Good understanding of health and social care;
  • Capability to understand and analyse complex issues;
  • Ability to influence and persuade others, able to articulate a balanced not personal view, and to engage in constructive debate without being adversarial or losing respect and goodwill;
  • Ability to take an objective view, seeing issues from all perspectives, especially external and user perspectives;
  • Ability to recognise key influencers and the skills to engage and involve them;
  • Ability to communicate effectively, listening to other and actively sharing information;
  • Intellectual capacity and application - ability to think conceptually in order to plan flexibly for the longer term and being continually alert to finding ways to improve.
