Reed Legal are working with a high-profile national charity to support with the appointment of an interim Corporate Governance and Compliance Manager to join the organisation on a fixed term contract basis for 6 months.

You will be responsible for Trustee Committee management and ensuring the organisation complies with Company Secretarial and Charity Act requirements. Key Duties include:
  • Plan and maintain board and committee meeting calendars ensuring all relevant participants are kept up-to-date
  • Support the Company Secretary and Committee Chairs in the preparation of agendas, forward planning of agenda items and ensuring follow up actions are addressed
  • Coordination of board packs for various Committees and any related sub-groups
  • Prepare draft minutes of those meetings and agree the same with the Company Secretary, CEO and/or Chair of Committee as relevant
  • Maintain register of members, directors and secretary for the organisation and its subsidiaries
  • Preparation of all papers and planning relevant to any Members meetings ensuring legal compliance with Articles and company law
  • Preparation of all papers and planning relevant to subsidiary board meetings
  • Maintain the conflict of interest and related party registers for trustees and senior staff
  • Submit statutory returns to Companies House, Charity Commission and other government agencies for The Children's Society, its subsidiaries and any related trust funds
  • Coordinate the production of the Annual Report
  • Maintain the Fraud and Gifts and Hospitality and Complaints registers

Key skills and experience:
  • Educated to a degree level (Desirable)
  • Company Secretarial Qualification (Desirable)
  • Demonstrable organisational and prioritisation skills
  • Experience of establishing and delivering personal deadlines
  • Attention to detail and accuracy
  • Ability to work independently under pressure
  • Ability to interpret information (legal and commercial / financial)
  • IT literacy especially Microsoft Word, PowerPoint and Excel
  • Ability to develop and maintain relationships
