Kenneth Brian Associates are working on an exclusive basis to hire a Commercial Manager for a fast-paced, rapidly expanding, services business based in Central Farnborough, Hampshire.

The Commercial Manager is responsible for all commercial agreements of the Company, including the protection of company interests - intellectual property and contractual obligations

Main duties

Ownership of the Contract lifecycle management processes

Drafting (and maintaining) contracts for the sale and purchase side.

Development and negotiation of all company group contracts (sales, purchases, leases, rental etc.

Contract review and handover.

Drafting and ownership of all 'standardagreements', including but not limited to standard terms and conditions of sale, lease and purchase, distribution agreements, MSAsetc.

Drafting and ownership of all 'non-standard-agreements' as may be required from time to time, including collaboration agreements, research and development contracts etc.

Overseeing (in conjunction with CFO) Anti-bribery and corruption processes and activities in the company.

Liaising with external counsel and professional advisors (e.g. corporate intelligence) as necessary.

Advising leadership team on commercial and contractual matters from time to time.

In conjunction with the PLM, establishing pricing regimes for products and solutions.

Ownership customer due-diligence process including, but not limited to:

Issue, negotiation and execution of Non-Disclosure Agreements.

Assess customer 'DD' information and report on status, including credit and payment terms, as well as advising on 'considerations' on any proposed relationship with the customer.

Providing advice on compliance and best practice with customers.

Any other contractual or legal duty or function as may be reasonably required by the business.

Ownership and maintenance of Salesforce.com

Ensuring Salesforce.com is up to date - contracts awarded and outstanding orders;

Ensuring that opportunities in Salesforce.com accurately state revenues to be recognised in any given period.
