Job Description

As an Ethics and Compliance Counsel you will play a key central role in the management of the day to day activities of the Ethics and Compliance Team, providing a world class service to the Group in connection with ethics and compliance matters generally and, in particular, with regard to the policies governing the appointment, management, payment and termination of Intermediaries, gifts and hospitality, facilitation payments, competitive intelligence, corporate giving and sponsorship, offset and countertrade activities and procurement activities.

You will also support the Ethics and Compliance Team and the businesses and functions in embedding a principles-based compliance and behaviours culture based upon the effective management of non-financial risk.

Key Accountabilities:
  • Support the Head of Ethics and Compliance and Senior Ethics and Compliance Counsel in driving an organisational understanding of and adherence to anti-corruption policies and ethical behaviour.
  • Provide a world class service in connection with anti-corruption issues relating to the conduct of national and international business including promulgation of all compliance policies and procedures, including those governing intermediaries, gifts and hospitality, facilitation payments, conflicts of interest, confidential information, corporate giving and sponsorships and offset and countertrade activities.
  • Responding to ad hoc ethics and compliance inquiries and providing advice and instructions on a daily basis.
  • Managing the speak up process, with a primary focus on the whistleblowing hotline. This requires oversight of all cases received via the hotline, including liaising with internal and external parties conducting those investigations as well as providing regular reporting to various stakeholders on whistleblowing cases. In addition, the role may necessitate the conduct of investigations into ethics and compliance issues.
  • Assisting the Ethics and Compliance Team with the development and delivery of training on anti-corruption matters and supporting the regular review and update of policies and procedures governing anti-corruption matters.
  • Provide ethics and compliance support to M&A activity, including acquisitions, divestments and the creation of joint ventures. The role also requires involvement with the ethics and compliance oversight of existing joint ventures.


Requirements:
  • A qualified lawyer with good graduate qualifications and experience at a leading law firm / appropriate in-house experience.
  • Confident to stand up to management challenge and promote doing the right thing and the ability to communicate clearly and effectively with employees in a range of different seniorities.
  • Experience of negotiating and managing commercial contracts.
  • An awareness of anti-bribery and corruption laws and related experience. Experience in an ethics and compliance programme will be an advantage.
  • Negotiation and influencing skills and experience in investigative techniques.
  • Experience in producing training materials and successfully running training programmes.
