Our client is an international law firm with a global practice and office network that spans most of the main established and emerging market jurisdictions. The London office is currently expanding its High Yield team and as a result the need has arisen for a mid-level US qualified associate to join them. The High Yield team works closely with their Corporate Finance group which comprises an integrated offering of both US and UK qualified lawyers who advise their client on a full range of securities law relating to all types of capital markets transactions. Clients of the firm most of the world's largest public companies including the bulk of the Fortune 500 index. The High Yield team act on behalf of investment banks and corporates. The team also works closely with their expanding banking/finance and private equity teams in respect of leveraged financings which has benefitted by successful lateral partner hires in these areas in recent years. The team offers a range of services across Debt and Equity including expertise of Eurobonds and loan participation note offerings, MTN's and Covenant renegotiations. Candidates are sought with 3 to 5 years call with criteria to include a JD from a top law school, NY Bar and experience to include the following: •Negotiation of Notes, Purchase Agreements, Intercreditor Agreements in relation to high yield offerings. Associates work closely with the banking and finance team negotiating commitment papers regarding bridge to bond committed financing on the syndicated loan side if financing transactions. •Drafting offering memorandums for high yield offerings with U.S. style disclosure and due diligence and general U.S. securities advice in relation to 144A and Reg S offerings. •Working closely with partners and developing client relationships through business development initiatives and understanding client needs in the context of the financial markets and economic conditions. You will also get involved in managing and developing junior associates which is an important part of your overall skillset particularly for those seeking to ultimately progress to partnership. •Candidates will ideally have had secondment experience as the firm encourages its associates to undertake secondments particularly with investment banks where you will work closely with the business side. Placements in the firm's other offices is also a realistic possibility.
