Primary Duties

Shire plc, the leading global Biotech organization (FTSE 100/NASDAQ), is looking to appoint an Assistant Company Secretary on a permanent basis. You will report directly to the Deputy Company Secretary with the primary responsibility of ensuring the regulatory/legislative compliance of subsidiaries across the Group. You will also be responsible for developing and maintaining governance processes for subsidiaries across the Group.

Preparing for and attending subsidiary board meetings, preparing associated minutes and tracking/undertaking related actions.

Supporting Finance, Legal, Tax and Treasury functions with key intra-group projects and corporate restructurings.

Providing company secretarial support and managing third party advisers in respect of incorporations, mergers, acquisitions and other corporate transactions.

Ensuring all Group subsidiaries are compliant with applicable corporate regulation, legislation and group governance procedures/policies.

Providing practical guidance to directors in respect of their responsibilities and role on subsidiary boards.

Promoting good corporate governance.

Reviewing and monitoring changes in corporate law and the related impact on the business, and ensuring appropriate awareness within the wider Company Secretariat team to enable the implementation of changes to policies and procedures as required.

Managing the approval process for subsidiary annual accounts including reviewing and advising on company secretarial matters.

Maintaining company secretarial records and databases.

Assisting with ad hoc individual projects as they arise.

Education and Experience Requirements

Associate or Graduate of the ICSA or lawyer with at least 5 years’ relevant experience.

Key Skills, Abilities, and Competencies

As this is a very visible role within the company, excellent organization, presentation and communication skills are a necessity as is an attention to detail and the ability to use initiative and manage your own workload - you must be comfortable and able to provide a high level of support to senior management. Experience of using Blueprint and of multi-jurisdictional requirements would also be advantageous as would experience of managing third party providers.

Complexity and Problem Solving

The role will require the individual to interpret sometimes complex regulations, intra-group projects and corporate restructurings and to ensure that decisions are carefully recorded and made in compliance with internal processes.

Internal and External Contacts

This role will interact with external advisers including lawyers and accountants, and also with internal stakeholders at all levels across the Group.
