A well-known Lloyd's insurer currently has a requirement for an Interim Company Secretary from a Lloyd's background. They are open to day rates and fix term contracts with the possibility of the role going from temp to perm with the focus of covering the immediate requirement. Seeking candidates that possess significant experience of governance frameworks. Operating at board / executive level, and of providing company secretarial support.

*Preparing Board packs
*Taking minutes
* Assist with oversight of governance risk across the group
*Stewardship and development of the company secretarial team
*Direct management responsibilities within the company secretarial team
*To act as company secretary to various committees within the governance framework
*Assist with oversight of training offered to senior management
*To implement and coordinate the director training programme
*To support the design and co-ordination of effective management information at board and committee level so as to respond to relevant risk appetites
*Assistance with governance monitoring programme
*To assist with co-ordination and communication between
*To provide support in documenting governance arrangements, including the terms of reference for the company's board and various committees
*Producing company secretary reports for board/committee meetings
*Representing the company secretarial function at various board/committee meetings
*Maintaining and updating delegated and signing authorities
*Ensuring compliance with the Companies Act and regulatory requirements for relevant companies and directors
*Working with the rest of the company secretarial team to maintain the USS contractual
