Role Title M&A and Corporate Legal Counsel Location Watford or London, UK Rewards Competitive salary and comprehensive benefits on offer Summary This position will be responsible for providing legal services in connection with mergers, acquisitions, divestitures, joint ventures and other major corporate transactions, including due diligence, contract drafting and negotiation, transaction closing and integration activities, under the supervision of the Senior Counsel, Transactions & Corporate. The position will also support certain corporate functions. Essential Job Functions Advise S&N businesses on M&A transactions and manage M&A transaction processes Perform or oversee due diligence investigations and reviews of businesses being considered for transactions in order to obtain an understanding of relevant operations and risks. Provide legal advice and support to S&N's corporate functions as requested. Manage and supervise outside counsel as necessary, ensuring clarity of instruction and efficiency on cost management. Participate in implementation of Legal Department strategy, administration and improvement initiatives as appropriate. Act as liaison to Company Secretariat and other work as assigned by Senior Counsel, Transactions & Corporate Requirements The role would greatly benefit from someone with significant post-qualification experience at a top-tier M&A practice. Experience in the Health care Industry-Device, Pharmacy or Bio tech is preferable Qualified as a Solicitor in England and Wales and admitted to practice and/or with American Bar Association Membership Fluent in written and spoken English About Us Smith & Nephew is a diversified advanced medical technology business that supports health care professionals in more than 100 countries to improve the quality of life for their patients.
