Associate Corporate Lawyer Europe
We are currently seeking a European Commercial Lawyer to join our international team at Claire’s Inc. based at our UK Office in Birmingham.
About the JobThis is a new role and the purpose of the Commercial Lawyer is to ensure the legality of European commercial transactions and advise on legal rights and duties, including the duties and responsibilities of Corporate Officers.Your initial primary responsibility will be to take ownership and accountability for all UK and ROI leasing transactions, working closely with the UK Real Estate Team. As the role progresses, you will develop relationships with the HR and QA teams in Europe.This role will report in to the chief legal officer located in the U.S. with a dotted line to the VP of Business Development and EU Real Estate, who is based in Birmingham.
Role and ResponsibilitiesThe core areas of responsibility are:·To improve the execution of UK real estate leasing by bringing in-house, the majority of UK lease transactions and instructing and liaising with external lawyers where the case remains outsourced. ·To formulate and implement policies and procedures regarding the hiring of outside lawyers by various business functions.·Working on a broad variety of legal issues, including drafting and negotiating various commercial contracts, assisting with setting up new legal entities and maintaining their corporate records, advising the business on various legal and compliance issues generally applicable to a retail business, and managing external counsel in litigation proceedings.·Direct lines of communication with the Head of Human Resources in the Birmingham office, as well as other business heads of departments in the Birmingham UK office.·Partnering with the Director of Quality Assurance regarding regulatory compliance, from both a product safety and consumer law perspective, in the countries that are operated under the Company’s European division.·Travel to the U.S. at least once a year and must be available to travel to various European countries in which the Company does business, on an as needed basis, should legal issues arise that require your personal presence.About You·You will be a qualified lawyer (qualified in at least one European jurisdiction) with around 3-6 PQE, gained in either a top level law firm and/or international company, preferably in the retail industry. ·In addition to the English language, a second language in one or more of the following: French, German, Spanish and Italian, would be preferred.·You must possess excellent communication skills, both written and oral, demonstrate legal problem solving skills with a business focus, be a self-starter and able to work independently, be able to interact effectively and efficiently with all levels of management, be a team player, and exude confidence in decision making.·Overall, you must be a very good generalist lawyer; fluent in interpreting laws, rulings and regulations for a retail business to ensure legal compliance and minimize legal risks.·You must have knowledge of aspects of various commercial law areas, including contracts, real estate, consumer and trading retail laws, employment, e-commerce, intellectual property, licensing, data privacy and general securities laws.·You will have the accountability for commercial decisions on drafting leases and in negotiations with external lawyers.·You will have significant say in these circumstances and will advise and work with the real estate team to ensure that the right conclusion is reached
