Hampton’s are currently working with a charitable organisation who provide residential and Supported Living services for Adults with Learning Disabilities and complex needs.
We are leading the recruitment drive for a Company Secretary based in North London.

Purpose of role:
Reporting directly to the CEO to provide a high-level of in house company and governance legal advice and assistance across the charity & its subsidiaries
To carry out all aspects of the role in a satisfactory manner and within the guidance of the organisation’s Ambition & Strategic Priorities
To ensure that the charity and its subsidiaries comply with the requirements of company and charity law.

Key Job Responsibilities:

To maintain and ensure compliance with the organisation’s Articles of Association.
To coordinate the clerical and administrative work that requires knowledge of legal terms, documents, and procedures.
To review legal documents and provide advice to Trustees, Executive Leadership Team & National Senior Leadership Team on potential legal issues.
To coordinate Data Protection to ensure overall organisational compliance.
To carry out research in respect of ongoing work and preparing legal reports and papers.
To draft contract templates, agreements and a variety of other legal documentation as required.
To work in partnership with the organisation’s external solicitors.
To advise the Chair and CEO on all matters relevant to the discharge of the organisation’s constitutional responsibilities.
To ensure that all legal documents and statutory forms are appropriately checked, signed and filed within set deadlines.
To sign tenders, contracts, bank forms, change of signatories and opening of new bank accounts as appropriate.
To ensure the Seals & Agreements Register is kept up to date and organisational contracts are effectively stored.
To ensure that the organisation’s public documents contain all the information required under law.
To ensure that Companies House is advised of change of Registered Office.
To maintain registers of members, directors and secretaries.
To ensure we are adhering to the areas listed within the Scheme of Delegation.
To ensure the efficient running of Board, Committee and General Meetings.
That agendas are prepared with the Chair, CEO, Chairs of Committees & Trustees appropriately incorporate agenda items from other Board Members / staff.

Chair of Trustees & Trustees

To ensure that the Members’ Conflicts of Interest Register is kept up to date.
To ensure the Trustee Handbook is appropriately reviewed and updated on a regular basis.
To attend meetings with the Chair & CEO regarding governance and ensure the completion of any delegated tasks.
To co-ordinate the completion of DBS checks and re-checks for all relevant Trustees & Members.
To ensure Trustees respond to approval of recommendations by set deadlines and that we have received quorate for all approvals outside of meetings.
To communicate directly, and on behalf of the Chair, with Board members, donors, staff and other key stakeholders.
