My client is one of the world’s largest Data Centre and IT Services clients. They have operations across Europe, America and Asia Pacific.

Job Purpose
• To generally protect the group’s legal rights and interests.
• To negotiate and create agreement with external parties (mainly suppliers/business partners and customers).
• To ensure that the life cycle of a contract (from creation, maintenance, renewal through to termination) is managed in a timely manner and in compliance with the Company’s governance.
• To keep the Company legally secured and compliant with laws, regulations and the industry business standards such as ISO.
• To conduct company secretarial works in conjunction with the General Affairs Director.
• To advise and liaise with internal departments across the Company in any legal and contractual aspects.
• To attract, develop and retain top talent in the Legal team to ensure they are engaged and able to deliver their responsibilities.

Key Tasks
1. New Contracts
• Negotiate terms and conditions of new contracts with External Parties (supplier, partner, customer etc. and their legal advisors, collectively called “EP” hereinafter) in conjunction with relevant internal departments.
• Track and follow up contracts procedures with any department until the contract is duly signed and executed. Assure contracts are signed before any legal rights or obligations take effect.

2. Existing Contracts
• Maintain and review terms and conditions of existing contracts with EP when necessary in conjunction with relevant internal departments.

3. Records Management
• Keep records of all contracts and their related matters, either written or verbal, so that misunderstandings or misinterpretation in relation with contracts can be avoided.
• Provide internal departments with any necessary information related with contracts and liaise with EP as a central point of contract information.

4. Company Secretarial Work
• Ensure that the company is managed in alignment with the Article of Associations.
• Ensure that relationships with the Company’s shareholders or subsidiaries are well managed so that any interests or rights are not damaged.
• Ensure that the Company is always fully compliant with any laws or regulations such as (but not limited to) Company House registration, Data Protection, Anti-bribery Act and Modern Slavery Act on a regular and timely basis.
• Carry out any other duties that are reasonably requested from time to time.

5. People Management
• To supervise the duties, performance and development of all reporting staff.

6. General
• Ensure that the Company’s and the group’s intellectual rights and properties are protected.
• Give legal advice to any department if required on such matters as (but not limited to) commercial law issues, non-disclosure agreement, intellectual property rights etc.
• Instruct and liaise with external lawyers where necessary.
• Take initiative or raise alert to the business in order to prevent any breach of law, regulation and business standard.
• Advising on and implementing risk management policy, assessing risks and assisting internal clients in avoiding undesirable legal consequences.

Essential Skills
• Educated to Degree level/holds an English legal qualification.
• At least 5 years’ previous experience of contracts drafting, administration, review and negotiation.
• Knowledge of contract law, intellectual property and general commercial law ideally with in-house experience in a similar business environment.
• Good knowledge on the construction, renovation, facility management, property management and project management industry and their practice.
• Commercially astute.
• Excellent drafting skills.
• Proficiency in the use of MS Word.
• General knowledge of government laws and regulations surrounding the Company business.
• Experience of previously managing and developing team members.
• Stakeholder Management
