About the organisation

We are a leading provider of local community transport in the UK providing essential transport solutions, particularly for socially isolated people and those with mobility difficulties unable to access other services. We also offer a group transport service for local non-profit organisations such as charities and community groups. By providing transport to people who are unable to access mainstream transport services, we deliver public benefit by supporting community participation and engagement and enabling people to access more opportunities to improve their lives.

About the role

Overall responsibility

Together, the trustees ensure that ECT Charity;

  • Has a clear vision, mission and strategy and is focused in achieving them
  • Complies with all legal and regulatory requirements
  • Has governance of the highest possible standard
  • Prepares reports on its achievements as well as Annual Returns and accounts as required by law
  • ECT Charity does not breach any of the requirements or rules set out in its governing documents and that it remains true to the charitable purpose and objects set out therein
  • Is and will remain solvent

Trustees must also;

  • Be responsible for the performance of the charity and its corporate behaviour
  • Acts as guardians of the charity’s assets
  • Recruit the Chief Executive and monitor their work in the day-to-day running of the organisation 
  • Act with integrity, and avoid any personal conflicts of interest or misuse of ECT Charity’s funds or assets
  • Use charitable funds and assets reasonably, and only in furtherance of ECT Charity’s charitable objects as set out in the Articles of Association
  • Avoid undertaking activities that might place ECT Charity’s funds, assets or reputation at undue risk
  • Take special care when investing ECT Charity’s funds or when borrowing funds for the charity to use
  • Consider seeking external professional advice on all matters where there may be material risk to the charity, or where the Trustees may be in breach of their duties

Specific duties to legal specialist

Trustees are expected to use their specific skills, knowledge and/or experience to assist the Board in reaching sound decisions, including;

  • Scrutinising board papers
  • Leading discussions
  • Focusing on key issues
  • Providing guidance on new initiatives
  • Taking advice from ECT Charity’s key stakeholders, including transport scheme members, employees and/or key clients such as local authorities
  • Any other issues in which the Trustee has the special expertise of legal matters.

Person description

We are particularly interested in an applicant with knowledge and/or experience in one or more of the following :

  • The legal profession
  • Relevant legislation and regulations that govern charity activities
  • Relevant legislation and regulations that govern transport 

Time commitment

Board meetings are held once every two months for 2-3 hours. Trustees may also be required to attend sub-committee meetings as well as other duties.
