Our client is a leading standalone UK-focused downstream energy company and has a strong UK market share (circa 16%). Their oil refinery in Ellesmere Port processes 9 million tonnes of crude oil and feedstock per year and is a major supplier in North-West England with customers including most of the major retail brands operated by the international oil companies and the hypermarkets, together with Manchester Airport and the region’s trains and buses.

They employ over 900 highly-trained and loyal staff who are at the heart of everything they do. The company has an embedded safety culture, technically challenging work and provides some of the best training available in the industry.

They now have an opportunity for a Legal Finance Advisor and Company Secretarial Support to join them to provide banking and compliance advice along with supporting secretarial duties.

On the legal side of the role, you will be required to provide legal review and advise for large financing facilities terms(facility sizes in excess of $100 mn) for initial facility setup and ongoing review of terms and conditions to ensure smooth operations of the company under various conditions. You will provide extensive advice on the drafting of their finance facilities and banking matters, support negotiations and help monitor and develop compliance policies. You would also be supporting the legal, negotiation and documentation aspects of any strategic corporate finance projects such as acquisitions divestments etc.

As Company Secretarial Assistant, you will ensure that board meetings are well organised, utilise new technology to improve access to and retain all relevant records, draft resolutions and ensure compliance.

The key impacts would be to help the General Counsel to support the Board, ensure compliance, develop new compliance policies and facilitate the business outcome via contract provisions maximising commercial flexibility and minimising liabilities.
