Job Summary

To provide a full and all encompassing Company Secretarial and Compliance Service to the company with specific responsibility to the organisation, as a whole, for its sound governance. Providing timely and effective support and guidance, constructively challenging where appropriate, the Board and Committee members enabling them to effectively and responsibly fulfil their duties.

Principal Duties/Responsibilities Company Secretarial

• Responsibility for the smooth and efficient running of meeting s of the Boards/Committees, providing assistance and support to the Chair of each Board and providing an annual framework of meetings and their attendees

• To develop and maintain strong relations and contact with the Senior Leadership Team members to enable the effective and efficient production of agendas and other supporting documents prior to the meetings.

• To attend each meeting and prepare accurate and timely minutes of and actions arising from the meetings for boards/committees and ensure the follow up of any actions arising;

• Maintain and update the Company Registers for each UK company;

• Maintain and update the core corporate information including Terms of Reference for Boards and Committees;

• Ensure compliance with Companies House filing requirements and overseas equivalents (liaise with the Registers in Hong Kong and USA);

• Support the Group Company Secretary in monitoring and reviewing the effectiveness of the corporate governance framework and meeting Lloyd’s, FCA and overseas jurisdictions requirements in respect of corporate governance;

• Assist in respect of all M&A work where applicable;

• To manage the process for appointments and elections of Board and Committee members;

• To assist in the Preparation of the Annual Reports and statutory returns;

• Work closely with the external lawyers; and other Professional service providers

• Management of the shareholder Register and any queries;

• Maintain the Group Structure Chart Compliance

• Ensure Group compliance with statutory requirements and governance best practice through the execution of timely advice and support the development and implementation of compliance policy and procedures;

• Management and attendance of all coverholder audits from compliance perspective;

• Maintain the FCA Register via Connect and Gabriel including filing of RMARs for all regulated entities;

• Roll out and monitor twice annual compliance training to all staff

• Management of the TOBA process – including management of the sanctions systems, credit checking system etc;

• Management of the Compliance Inbox including all queries;

• Work closely with external compliance consultants on all complex compliance issues;

• Develop, Review, Implement and Report on the compliance monitoring plan;

• Preparation of the quarterly compliance report to the Group Board and other regulated subsidiaries;

• Monitor the Risk Register and report any changes in RAG status to the Group Board;

• Assist on any Change of Control applications in relation to M&A activity.


• Work with Directors in identifying any statutory training required, sourcing, reviewing and providing this as appropriate

Required Qualifications, Skills, Knowledge, Experience Qualifications:

ICSA qualified or equivalent (essential)


At least 3 years of Company Secretarial relevant experience

Legal entity management

Excellent communication skills at all levels and confidence to be able to respond clearly to queries and questions

Experience of Minute taking (essential)

Excel and Word (essential)

Ability to prioritise workload and work with minimum supervision and input

Experience of working in a publically listed organisation is ideal

Relevant Financial Services experience

Compliance experience (Desirable)
