Company Secretarial Administrator - City - £30,000

10 month Fixed Term Contract in London at a large and established Lloyds Broker

About the Role:
Provide Company Secretarial support to the Group Company Secretary and Deputy Company Secretary in carrying out all the responsibilities of the department. To play an active role in providing a consistently high level of administrative services to the organisation and projecting a professional and positive image of the department and governance as a whole.

Key Responsibilities

·Provide administrative support, including diary management, filing, invoices, expenses, mailings, couriers and printing.
·Proactively support the Company Secretarial Team in providing company secretarial services to the company and ensure compliance with UK and overseas statutory and regulatory requirements, including the Companies Act 2006 (PRA, FCA and Lloyd's requirements); as well as ensuring compliance with the Group's own Corporate Governance and Internal Control Framework.
·Maintain and update the Company Registers and Blueprint for all subsidiary companies and copy Company Books for the overseas subsidiaries.
·Arrange and administer board and committee meetings within the corporate governance structure including regular recurring meetings and 'ad hoc' meetings.
·Maintain the integrity of the board/committee meeting calendar.
·Maintain the Company Secretariat intranet page.
·Take responsibility for the collation, binding and despatch of board and committee packs.
·Provide front of house services to external and internal clients.
·Undertake ad hoc projects as required.
·Under supervision, prepare statutory paperwork for subsidiary company administration.

Skills and Experience

·Graduate or equivalent with at least 1 years experience gained within insurance, financial services, the professions or other highly regulated industry.
·Preparation of Confirmation statements
·Preparation of Statutory minutes and resolutions
·Proficient users of Blueprint, Virtual Boardroom or similar software
·Filings with Companies House
·Board support (e.g. chasing actions, preparation of board packs, binding of board packs)
·Maintenance of board and committee meeting calendar
·Department diary management
·Expenses
·Invoices
·Printing
·Scanning
·A self starter who can work without extensive supervision and administrative support but also has a collaborative approach and enjoys being part of a small team.
·Strong ability to manage upwards effectively.
·Exceptional organisational and time management skills, with an ability to prioritise time critical and conflicting workload.
·Experience of web-based company secretarial software (e.g. Blueprint) and electronic board applications (e.g. Virtual Boardroom).
·Proficient user of Microsoft.
