The company are seeking to recruit a Company Secretary to join their Richmond, South West London office. This role will initially be on a six-month contract, with the possibility of being extended and even made permanent.
You will be responsible for the statutory and regulatory compliance and governance of all of the groups companies in Europe, the Middle East and Africa. This will include director appointments and resignations, preparation of board/shareholder minutes, maintenance of statutory books, filing of statutory form and updating Blueprint and performing other company secretarial duties as needed.
Tasks include drafting board meetings, proxies, powers of attorney, resolutions, organising board / shareholder meetings, working with external counsel and advisers, maintaining share registers, filing of annual returns, filing of annual accounts and maintaining 'Persons of Significant Control registers'; You will also work with external advisors Globally. You will also offer ad hoc support on corporate projects such as M&A transactions, corporate financing, capitalisations, liquidations and incorporations working closely with internal teams in Legal, Tax, Accounting and Treasury.
- This will initially be a six-month fixed term contract, with the prospect of being extended and possibly even being made permanent.
- You will be ICSA qualified
- Experience of using a Corporate records system e. Blueprint will be of massive advantage
- You will have good experience of working as a Company Secretary
- You should be organised and able to hit the ground running
- You will be paid an hourly rate which is above market rate and very competitive.
