About Fortress Europe We are looking to grow our existing European legal team with an experienced corporate counsel who will serve as a key transactions partner to Fortress' European credit, private equity and real estate businesses. In particular, the successful candidate will develop, manage and execute legal aspects of the Fortress credit funds business' European investments. The position is ideal for an experienced corporate counsel who desires to move from a law firm environment into a senior in-house legal role in investment management as part of a leading global firm. The candidate will report directly to the European General Counsel and indirectly to the General Counsel of Fortress. Responsibilities The candidate will be responsible for negotiating and executing a wide array of complex, interesting transactions across a broad spectrum of industries. They should have the experience and personality to be comfortable leading and executing a wide array of deals and should have significant corporate finance and M&A experience. Examples of responsibilities include: - Negotiating M&A transactions - Negotiating the acquisition, disposal and financing of commercial real estate assets. - Negotiating acquisition, disposal and financing of aircraft and shipping assets. - Negotiating credit agreements and other covenant-based documents (both as borrower and lender) - Play a significant role in coordinating the execution of transactions, including both legal and logistical issues such as obtaining internal consensus on transaction terms and disclosure, coordinating diligence requests and related matters - Supervising and coordinating outside counsel on transactions - Ongoing legal input into asset management decisions. - Extensive international travel will be required Qualifications and Experience Experience - Significant transactional experience at a leading law firm, with a focus on corporate work (M&A, financing, and commercial contract negotiation) and complex international cross border transactions. - Previous in-house experience (including by way of secondment) and experience of instructing and managing external counsel is essential. - Significant Deal Experience - comfortable running all aspects of complicated corporate deals. - Financing experience - experience of leveraged, structured and/or asset finance transactions and loan portfolio acquisitions would be a significant advantage - Exposure to, and previous experience acting for, other European alternative asset managers and credit funds. Skills - Strong co-ordination and project management skills - Flexible - The ability to deal with rapid growth in constantly changing internal and external environments.
