The Role

Exela Technologies is looking to hire a qualified individual as Corporate Counsel, based at the offices of BancTec (an Exela Technologies company) just west of London, UK. This is an exciting and challenging opportunity to join Exela Technologies’ Global Legal Department.

This role would be ideal for a lawyer with circa 7+ years PQE (or has had extensive exposure to a range of commercial BPO and technology projects regardless of PQE) who would like to join a fast-paced and highly collegiate environment, and make a difference providing creative and proactive legal guidance for technology and TPS/EIM deals. Upon earning the trust of the leadership and organisation, the Corporate Counsel/ will be trusted with a great deal of autonomy and responsibility, and the ability to influence all aspects of the business on a regional and global basis

Reporting to the SVP and General Counsel | ROW, this position is primarily responsible for negotiating and drafting TPS, EIM, license, technology services, app commercialisation, teaming and partner agreements, conducting complex contracts negotiations, and otherwise supporting a broad range of commercial work requirements (sales, procurement, IT, outsourcing) in addition to litigation, employment, compliance and ad-hoc legal issues as they arise. While the primary geographic scope of responsibilities will be the UK and EMEA region, the Corporate Counsel is expected to provide assistance and take charge of matters arising in other areas/lines of business on a global basis.

Key Responsibilities

·Strong personal, communication and negotiation skills, capable of dealing with a wide range of people and cultures

·Support the sales, development, and other organizations on contract negotiation objectives and strategy, general IP strategies and issues and/or dispute resolution with third parties

·Draft new and standard contractual terms to be used for company engagements, handling personally complex contract negotiations, ensuring that contractual risks to the business are minimised, with a particular focus on adequate commercial terms and restricted exposure to liability

·Work closely with finance and operations teams to ensure contracts comply with accounting rules, policies, US/UK/other laws and regulations (e.g. FCPA, export compliance) and local law

·Liaise with outside counsel where required on region-specific engagements and assist the SVP – GC (ROW) on all legal matters

·Manage corporate compliance programs, including educating international employees

·Maintain the highest standards of organisation and prioritisation in order to meet deadlines while incorporating new matters to a dynamic, evolving and very varied workload

·Manage the work of external counsel, with an emphasis on cost-control and effective reuse of knowledge

·Active involvement in acquisitions, especially in the due diligence phase, as needed

Qualifications Required

·The position will be based in BancTec’s offices just west of London, UK

·Must be fully qualified to practice law in England and Wales, with substantial experience drafting and negotiating commercial contracts

·Broad experience including, preferably, outsourcing, technology license and service agreements, employment, property and data protection law, ideally trained in a medium to large commercial focused law firm or in house department

·Experience negotiating, drafting and advising on high value contracts, including multi-jurisdictional transactions

·Excellent written, verbal presentation, interpersonal communication, MS Word, Excel, and PowerPoint skills

·Must be driven, engaging, enthusiastic, personable and "hungry" for new challenges

Desired Skills and Experience

Whilst previous experience of general commercial contracts is a plus, applications from all levels are encouraged, provided the candidate can demonstrate a solid understanding of contract drafting with a minimum of relevant experience. We value candidates with the ability to interact productively with colleagues across the legal and commercial teams.

Fluency in French and/or German preferred
