Context of Position

Exertis has undergone significant growth over the last few years both through organic expansion and acquisition. The Legal and Compliance function has been heavily involved in supporting the integration of new businesses, expansion into new geographical territories and across new customer populations, as well diversification of the business model from its core focus of technology distribution to include among others ecommerce, end consumer, digital, own brand product design and manufacturing activities. It has also been instrumental in realising some of the largest CapEx investment projects within the group to inject operational efficiency and support the future continued growth of the business, including the development and construction of its new National Distribution Centre at Burnley Bridge: and the phased multi-year implementation of a new ERP system.

Structurally the Legal and Compliance function is aligned to the Exertis Group Finance function. It also receives extensive input and guidance on implementation of overall DCC Group compliance and risk standards within the technology division from the Head of Group Legal and Compliance in Dublin.

This is a new role, designed to work closely with the Head of Legal and Compliance for the Exertis UK and Ireland group of companies. It will span the full spectrum of commercial and operational legal as well compliance support for the Exertis group, with immediate focus on the UK businesses. The role will operate cross-functionally, partnering with all business units and functions, including Finance, HR, Purchasing, Commercial Contracts, IT and Operations. It will demand the continued creation and development of appropriate processes, procedures, tools (including checklists, templates, communication tools) to support the business to enable it to evolve and reach its growth objectives and targets within a robust control environment that protects the value generated by it. The role holder will be expected to travel within the UK (1-2 times per month) to key locations in Harlow, Burnley Bridge [and Basingstoke], as well occasionally to Dublin, Ireland

Key Responsibilities and Accountabilities

Review, advise on and draft a wide range of legal documents, policies and procedures, risk and compliance plans, reports, training and communication materials

Provide support, advice and lead decision-making on a wide range of commercial and operational legal and compliance matters affecting the business

Deliver and execute against the Exertis annual legal and compliance plan and risk register

Advise on, negotiate and draft a wide range of commercial contracts, including manufacturing (OEM and ODM), digital, ecommerce, technology distribution, introducer, software, intellectual property, financing, supply and purchase, confidentiality, services, property, development and construction agreements

Develop and maintain the Exertis standard form template agreements suite, including distribution, purchase, sales (digital and physical goods), NDA, international distribution, Enterprise services, B2B and B2C ecommerce, recurring revenue digital reseller, ODM, settlement agreements etc.

Support the design and implementation of risk-based compliance programmes, policies and procedures to manage and mitigate commercial legal and regulatory risk (competition, anti-corruption, consumer credit, trade sanctions, export controls, supply chain integrity, product regulatory, data protection) and embed an ethical and compliant culture across the group in accordance with the DCC Group Code of Conduct and the Exertis Values

Deliver in person training on competition law and other DCC Code of Conduct risk areas at all main office locations approximately 1-2 times per month

Provide advice and counsel to the business on compliance issues generally with particular focus on competition law, product regulatory and supply chain integrity, export controls, trade sanctions, bribery and corruption, and data protection.

Assess legal and regulatory developments and their impacts on the business, and develop appropriate awareness across the business and tools to manage emerging risks

Manage the own brand products intellectual property strategy and portfolio

Provide direction and management of external disputes (escalating or actual), including regulatory action and commercial disputes, as well in investigation of alleged internal policy breaches and other non-compliance with law, encompassing immediate risk assessment and development of response and mitigation plan through to remediation, resolution and subsequent implementation of business process and policy change for prevention of recurrence

Demonstrate a strong awareness of Ethics and Compliance and the Group Business Conduct Guidelines.


Qualified Solicitor with a minimum 5 years PQE; private practice and inhouse experience


Experience of auditing legal and compliance risk areas and monitering/implementing corrective actions.

Prior experience in a manufacturing or distribution environment.

Prior experience in the technology sector, including technology distribution.


LLB. (or equivalent);minimum 2:1 or equivalent
