A rare and superb opportunity to work for a global organisation with an excellent reputation in the role of paralegal. This position would either suit a recent graduate or graduate of a conversion scheme or someone who has been working as a paralegal recently.

General Function : To manage Company Secretarial matters for all UK subsidiaries and Source Code escrow arrangements for EMEA, and provide other project based assistance to the Regional General Counsel, EMEA.

Reporting: To Regional General Counsel, EMEA

Key Objectives / Measures
*Ability to communicate confidently with management and Directors

Management Functions
*Liaison with US and Asia Pacific regarding source code escrow matters
*Provide training and updates to EMEA legal department as necessary
*Implementing source code escrow policies and business practices

Legal Functions
*Responsible for administration of company secretarial matters for all UK subsidiares, including
*To screen and manage for requests for directors
*Maintaining accurate books and records for all subsidiaries
*Preparing necessary Board and Shareholder minutes and ensuring timely execution (including arranging meetings,managing meetings, and dealing with post meeting actions)
*Managing the Company's relationship with external company secretarial and notarial service providers
*Working with external advisors in connection with acquisition integration and simplification
*Providing necessary information/documentation to finance, auditors, management in a timely manner
*Reviewing corporate documents prior to supporting the accurate execution of various legal documents.
*Managing companies and directors duties in accordance with the Companies Act 2006
*Manage company filings for their relevant legislative duties within applicable deadlines
*Ensure timely maintenance of the corporate database Blueprint and other internal systems.
*Assist Corporate Counsel with Secretarial matters for EMEA based subsidiaries where required
*Responsible for administration of Oracle's source code escrow arrangements in EMEA, including
*Advising EMEA Legal and the Business on structure of escrow arrangements, including appropriate documents to use.
*Management and administration of the EMEA escrow generic email account
*Managing the relationship with source code escrow service providers
*Dealing with customer enquiries on escrow matters
*Manage and negotiate legacy escrow accounts in accordance with the global policies
*Work with other departments in order to handle source code from terminated escrow accounts in accordance with the global policies

Required Skills
*Completed law degree or law conversion course
*Fluency in English
*Excellent verbal and written communication skills

*Working knowledge of company secretarial matters and directors responsibilities/duties an advantage
