Outline of role
This post offers an opportunity to be a member of the Trust’s legal resources dealing with a broad range of legal questions arising from Research contracts, research commercial and non-commrcial relationships, governance and other related legal fields in a dynamic and innovative healthcare environment. The post holder will provide the legal services required in the research related fields of intellectual property, commercial clinical trials, governance and corporate law
Day to Day Duties:
Review and manage a wide variety of research related agreements and amendments including but not limited to clinical trial agreements; material transfer, service level, confidentiality, chief investigator/consultancy and equipment loan agreements.
Review draft agreements received from sponsors and propose changes, ensuring consistency and adherence to set standards, aiming to achieve the best possible terms, referring to the Research Contracts Manager as required.
To have and deploy good working knowledge of contractual issues such as intellectual property, indemnities, confidentiality, publications and other related issues within the context of College and Trust policies.
Perform legal analysis on all contractual terms proposed by commercial and non-commercial research partners ensuring and safeguarding NHS patient interests.
Progress contract negotiations and correspondence with global pharmaceutical industry, commercial sponsors, academic institutions and other commercial/non-commercial research organisations.
Advising clinical/ admin/ research staff in respect of contractual issues and negotiations. First point of contact for all legal aspects of trial set up and explaining legal aspects of study agreements.
Develop knowledge of clinical contracts related issues and relevant laws and regulations applicable to such contracts
To observe and comply with all Trust policies and regulations, for example Health and Safety, Data Protection & Confidentiality, Information Governance
Maintain the computerised Contract Activity log.
Ad hoc associated projects as and when they arise.
Negotiate and amend all clinical research contracts and related legal documents Prepare model draft agreements in discussion with research staff taking into consideration specific project/study requirements.
Performing a legal an analysis on all contractual terms which may or may not present a risk to the Trust’s commercial or public health interests.
To have and deploy good working knowledge of contractual issues such as liability/indemnity, intellectual property, confidentiality, publication and other related issues within the context of College and Trust policies.
Negotiating with global pharmaceutical/ commercial sponsors and CROs particularly US companies on indemnity; liability; intellectual property; confidentiality and anti-bribery terms ensuring consistency and adherence to Department of Health recommended national standards, aiming to achieve the best possible terms and with a view to resolution in order to initiate studies as quickly as possible.
Appreciation of different commercial sponsor’s policies and standard terms.
Providing professional opinion on the interpretation and application of English/EU law and regulations to agreements under negotiation, existing agreements and in other relevant situations.
To maintain up to date knowledge on legal principles and legislative developments within the Clinical Research industry, such as UK and foreign legislation.
Ensuring continued compliance with current regulatory regimes and to adapt to the developing priorities of organisationscommunication
To effectively communicate in writing and verbally with external contracting parties, clearly setting out the Trust’s position and policy.
Ability to summarise complex and contentious legal issues to senior management and non-legal staff explaining the relevant authority behind legal position e.g. indemnity and liability schemes within the NHS.
To engage researchers and research managers/coordinators to ensure achievable contract targets are met with their input.
To give professional advice and assistance to all levels of staff in the drafting and negotiation of agreements.
To educate staff through information and training concerning relevant developments in the law and the impact of such developments on and in the broader field of Research Governance by preparing and participating in seminars
