Senior Legal Counsel
A leading Global Financial Institution is seeking to employ a Senior Legal Counsel based in London.
Hours 35 per week/permanent.

The Senior Legal Counsel will provide a high quality, timely and cost-effective origination support and transaction execution service to the Leveraged & Acquisition Finance (LAF) business in London, Paris, Dusseldorf and Dubai, primarily to support the structuring and execution of leveraged finance, growth markets, infrastructure and investment grade (flow and event) loan financings. They will be part of the EMEA Transaction Management Group (TMG) in Global Banking Legal, and this role involves the ability to structure, negotiate and review contractual documentation relating to leveraged finance (including US covenant lite and European covenant lite products and bridges to high yield), growth markets, infrastructure and investment grade loan products so as to manage documentation risk (i.e. credit, reputational, market and Agency risk) where the documentation to include term sheets, mandate/ engagement letters, loan facility, intercreditor and ancillary documentation for cross-border transactions. Moreover, they will liaise with business origination team, colleagues in TMG/ Legal and external counsel and directly interact with the external clients on a day to day basis.
The Senior Legal Counsel will be involved in precise instruction and management of external lawyers and external legal costs as well as will have the ability to be innovative and suggest solutions that work well commercially and within the relevant legal framework. They will have the ability to work independently but also provide support to team colleagues within an experienced team. They will lead the structuring, review and negotiation of finance documentation for cross border loan financings (with involvement from pitch phase to completion, and thereafter), alongside origination teams. Furthermore, they will be responsible for review, internal escalation and resolution of legal, reputational and other internal issues, managing relationships with the various internal and external stakeholders, Global Banking senior management, Corporate Trust and Loans Agency, colleagues in GBM (Global Banking and Markets) Legal (both in London and in other teams globally), Compliance Credit and Tax, and keeping abreast of relevant regulatory and legal developments insofar as they affect LAF transactions.
The successful candidate will be a graduate and will have the following attributes:
- Qualified Lawyer
- Knowledge and experience of banking, corporate and securities law concepts and a working knowledge of the laws in the major jurisdictions.
- Corporate experience and Compliance experience an advantage, but not essential.
